Terms of Service
These Terms of Service ("Terms") govern access to and use of Zalio's websites, applications, and related services (together, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms for yourself and, if applicable, the organisation you represent.
1. The Service
Zalio provides software that helps organisations manage operational work, communications, customer relationships, and connected workflows. We may modify, update, or discontinue parts of the Service as it evolves. We will not materially reduce the core paid Service during a current paid term without reasonable notice, except where required for security, legal, or operational reasons.
2. Accounts and organisation authority
You must provide accurate account information, keep your credentials secure, and promptly notify us of unauthorised use. You are responsible for activity under your account. If you create, administer, or use an organisation account, you confirm that you are authorised to accept these Terms for that organisation and to manage its users and data.
3. Your data and responsibilities
You retain ownership of content and data you or your authorised users provide to the Service ("Customer Data"). You grant us a limited right to host, process, transmit, and display Customer Data only as necessary to provide, secure, and improve the Service, comply with law, and enforce these Terms.
You are responsible for Customer Data and for obtaining all notices, consents, and permissions needed to collect, use, upload, connect, and share it through the Service. Do not use the Service to process data in a way that violates applicable law or another person's rights.
4. Acceptable use
You must not, and must not permit others to, break the law or infringe another person's rights; interfere with, disrupt, probe, or bypass the security or operation of the Service; access the Service or another account except through authorised means; introduce malware, send unsolicited communications, or use the Service for deceptive, abusive, or harmful activity; or reverse engineer or copy the Service except where law does not allow that restriction.
5. Third-party services and integrations
The Service may let you connect to third-party services. Your use of a third-party service is governed by that provider's terms and privacy policy. We are not responsible for third-party services, their availability, or their handling of your data. You can disconnect an integration through the available Service controls or by contacting us.
6. Fees and taxes
Fees, billing frequency, payment terms, and any trial terms are set out in the applicable order, checkout, or subscription page. Fees are due when stated and are non-refundable except where required by law or expressly agreed in writing. You are responsible for applicable taxes, excluding taxes based on our net income.
7. Intellectual property
Zalio and its licensors retain all rights in the Service, including its software, design, documentation, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or authorised access period.
8. Confidentiality
Each party may receive the other's confidential information. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and disclose it only to personnel and service providers who need to know it and are bound by confidentiality duties. These duties do not apply to information that is public through no breach, already known without restriction, independently developed, or lawfully received from another source.
9. Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available". We do not promise that the Service will be uninterrupted, error-free, or suitable for every purpose. Information, automations, analytics, and AI-assisted outputs may be incomplete or inaccurate and must be reviewed by a qualified person before you rely on them for a business, legal, financial, medical, employment, or safety decision.
10. Liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive loss, or for lost profits, revenue, goodwill, or data. Our total liability arising from the Service or these Terms is limited to the amounts paid to us for the Service in the 12 months before the event giving rise to the claim. No term excludes rights or remedies that cannot lawfully be excluded, including under the Australian Consumer Law.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, or fail to pay undisputed fees after notice. On termination, your right to use the Service ends. We will make Customer Data available for export where reasonably practicable and then delete it in accordance with our retention practices and applicable law.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and change the "Last updated" date. For material changes, we will provide advance notice where required. Continued use after the effective date means you accept the updated Terms.
